Introduction
The Department for Digital, Culture, Media and Sport is seeking up to three outstanding individuals to be appointed Members of the S4C Authority Board.
Background
S4C is the Welsh language public service broadcaster and media provider. S4C (Sianel Pedwar Cymru – the Welsh Fourth Channel) is a statutory Authority, originally established in 1982 under the Broadcasting Act 1981 and now regulated by the Communications Act 2003 and the Broadcasting Act 1990.
It is the duty of the Authority to ensure that S4C represents a public service for the dissemination of information, education and entertainment. The Authority is responsible for ensuring that the independence of S4C is safeguarded. The Authority is also responsible for ensuring that effective management arrangements, including financial management, are in place for S4C’s public and commercial services.
S4C has a crucial role in providing wide ranging Welsh language entertainment and news services throughout Wales, the UK and beyond. The S4C Authority needs to reflect an understanding of UK broadcasting developments and of devolved government in Wales and takes into account cultural and other initiatives when determining its strategy. As a commissioner-broadcaster with a commitment to the independent production sector, S4C makes an important contribution to the creative economy in Wales.
S4C is currently funded through a mixture of grant in aid, funding from the Television Licence Fee through the BBC and advertising and commercial revenue. In 2016/17, S4C had a turnover of £83million. It also receives a statutory minimum of 10 hours a week of Welsh language programming provided free of charge from the BBC and funded from the Television Licence Fee.
The Public Bodies Act 2011 places a statutory duty on the Secretary of State to secure that the Authority is paid an amount that s/he considers sufficient to enable the Authority to cover the cost of providing its public services.
S4C and the BBC came to an agreement in November 2017 regarding the arrangements for the funding and financial accountability of S4C from the Television Licence Fee. This agreement reaffirms S4C’s independence and financial accountability for use of licence fee funding.

The Role of S4C Members
The Authority consists of the Chair and up to eight other members, each appointed by the Secretary of State for Culture, Media and Sport. Members bring varying skills and experience to the Authority, though they are all expected to ensure that S4C fulfils its public service remit and that public and licence fee funds allocated to S4C are properly utilised.
Authority Members will also be required to ensure that S4C’s public services are provided in accordance with S4C’s statutory remit.
Authority Members are expected to:
- Function collectively as the non-executive board of S4C and provide support and advice, and also ensure appropriate challenge to and accountability of the Chief Executive and his executive team.
- Support the Chair, in liaison with the Chief Executive, in overseeing the relationship with the BBC, DCMS and other stakeholders including the Welsh Government and the independent production sector.
- Represent S4C in its dealings with Ministers both within the UK Government and the Welsh Government.
- Undertake public engagement duties as necessary on behalf of S4C including public meetings and functions across Wales.
- Attend monthly meetings and any special Authority meetings, and attending sub-committees of the Authority as necessary.
The Authority seeks to ensure that its members, between them, are able to draw on a wide range of expertise and knowledge of particular fields relevant to the work of S4C. These include, but are not restricted to:
- Broadcasting, digital media and the wider creative industries
- The Welsh Language
- Business, commerce and finance
- Assurance and audit
- Accountability of public bodies

Fel comisiynydd-ddarlledwr ag ymrwymiad i’r sector cynhyrchu annibynnol, mae S4C yn gwneud cyfraniad pwysig i’r economi greadigol yng Nghymru.
Mae S4C ar hyn o bryd yn cael ei chyllido trwy gymysgedd o gymorth grant, cyllid o Ffi’r Drwydded Deledu trwy’r BBC a refeniw hysbysebu a masnachol. Yn 2016/17, roedd gan S4C drosiant o £83 miliwn. Mae hefyd yn derbyn isafswm statudol o 10 awr yr wythnos o raglenni Cymraeg a ddarperir yn rhad ac am ddim gan y BBC ac a gyllidir o Ffi’r Drwydded Deledu.

Daeth S4C a’r BBC i gytundeb ym mis Tachwedd 2017 ynglŷn â’r trefniadau ar gyfer cyllido ac atebolrwydd ariannol S4C o Ffi’r Drwydded Deledu tan 2028. Mae’r fframwaith hwn, a nodir yn y Cytundeb Partneriaeth, Ariannu ac Atebolrwydd yn ailddatgan annibyniaeth ac atebolrwydd ariannol S4C ar gyfer defnyddio cyllid o ffi’r drwydded.

Rôl Aelodau S4C
Mae’r Awdurdod yn cynnwys y Cadeirydd a hyd at wyth aelod arall, bob un ohonynt yn cael eu penodi gan yr Ysgrifennydd Gwladol dros Ddiwylliant, y Cyfryngau a Chwaraeon. Daw aelodau â sgiliau a phrofiad amrywiol i’r Awdurdod, er bod disgwyl i bob un ohonynt sicrhau bod S4C yn cyflawni ei chylch gwaith gwasanaeth cyhoeddus a bod arian cyhoeddus ac o ffi’r drwydded a ddyrennir i S4C yn cael ei ddefnyddio’n briodol.

Essential Criteria
All successful candidates must be able to demonstrate:
- An understanding of, and commitment to, S4C’s objectives;
- An understanding of the key challenges facing S4C, public service broadcasting, digital media providers, and the wider media and creative industries in Wales;
- An understanding of the role of the Authority and its relationship with its funding bodies;
- The ability to work at board level and an understanding of the distinction between the role of the executive and the board overseeing it;
- The ability to contribute effectively to future strategy development including the unique partnership with the BBC;
- Private sector, public sector or third sector experience, excellent communication skills and the ability to represent the Authority with confidence to a wide range of stakeholder groups.
As the Authority conducts most of its business in Welsh, applicants are expected to be Welsh speaking.

Applications should be made by submitting a CV of two pages maximum accompanied by a supporting statement, also of up to two pages, which sets out how you meet the essential criteria of the role.
You should state clearly how you meet the criteria outlined in the person / role specification.
