An announcement has been made on the outcome of this appointment.

The following people have been appointed as non-executive directors of NHS Digital (previously known as the Health and Social Care Information Centre) with effect from 1 July 2018: •Deborah Oakley – for 3 years as a non-executive director responsible for chairing the Assurance and Risk Committee •John Noble – for 3 years as a non-executive director responsible for chairing the Information Assurance and Cyber Security Committee •Balram Veliath – for 3 years as a non-executive director

These appointments will involve a time commitment of 2 to 3 days per month. Remuneration for the roles will be at a rate of £7,883 per annum for the non-executive director role, and £13,137 for the non-executive directors responsible for chairing the Information Assurance and Cyber Security Committee and Assurance and Risk Committee respectively.

These appointments are made in accordance with the Cabinet Office Code of Governance for Public Appointments. The regulation of public appointments against the requirements of this code is carried out by the Commissioner for Public Appointments.

These appointments are made on merit and political activity played no part in the decision process. However, in accordance with the code, there is a requirement for appointees’ political activity (if any declared) to be made public. No one has declared any political activity.

Vacancy Description

The Secretary of State for Health and Social Care is seeking to recruit 3 new Non-Executive Directors (NEDs) to the NHS Digital Board, including a NED to chair the Information Assurance and Cyber Security Committee, and a NED to chair the Assurance and Risk Committee.

NHS Digital is the national provider of information, data and IT systems for health and social care in England. As a NED of the NHS Digital Board, you will be responsible for helping to ensure that NHS Digital is a successful organisation, by meeting its statutory obligations and in terms of its effectiveness as a delivery organisation and employer.

NEDs play a key role in ensuring continuous organisational improvement, overarching performance management, excellent customer focus and service delivery, scrutiny, challenge, accountability and effective corporate governance.

Ministers are seeking to appoint NEDs who bring particular skills and experience to the Board. To be considered, you must be able to demonstrate that you have the qualities, skills and experience to meet all the essential criteria for appointment.

Person Specification

As a Non-Executive Director, you will:

  • Provide an independent view and creative contribution at Board meetings and the Board’s sub committees, including; ensuring the long-term strategic focus, effectiveness and reputation of NHS Digital through purposeful and constructive scrutiny and challenge.
  • Support NHS Digital’s ambition to become a world leader in production of open data and the application of technology in health and care.
  • Monitor, challenge and assure the performance of NHS Digital’s Executive Management Team, in delivering; the strategic vision, organisational priorities and business plan objectives; monitoring of organisational performance, service delivery, quality and reputation; provide assurance of NHS Digital’s governance, including periodic reviews of the organisation.
  • Support the Chair and the Executive Management Team to ensure NHS Digital fully embraces and embeds an excellent customer service ethos and delivers accordingly in order to enhance and develop its credibility and reputation.
  • Help the Board define the vision, values, culture and strategy of the organisation and set a high standard for ethics and diversity and inclusion.
  • Uphold the values of NHS Digital to deliver excellence, integrity, professionalism, innovation, trustworthiness and teamwork into all aspects of its work, and ensure that the organisation promotes diversity and inclusiveness for all its staff and stakeholders.
  • Help promote good working relationships with NHS Digital’s key stakeholders and when required, act as an ambassador for NHS Digital in public fora.

As Chair of the Information Assurance and Cyber Security Committee – you will be responsible for the oversight of NHS Digital’s information governance and cyber assurance.

The committee will:

  • Review and monitor the effectiveness of the system of integrated information governance, risk management and associated internal controls.
  • Provide oversight, review and challenge of the risk environment for data and cyber.
  • Work with peers across the Information Governance and Cyber arena to ensure NHS Digital operates to world-class standards.

As Chair of the Assurance and Risk Committee – you will be responsible for assurance of the macro risks in NHS Digital’s business including; clinical safety, financial control and operational integrity.

The Committee will:

  • Review and monitor the effectiveness of the system of integrated governance, clinical and financial risk management and associated internal controls.
  • Ensure that there is an effective internal audit function established by management that meets international and UK public sector internal audit standards and provides appropriate independent and objective assurance, advice and insight to the Chief Executive and Board.
  • Review the work and findings of the External Auditor and take account of the implications and management responses to their work.
  • Review all risk and control related disclosure statements, in particular; signing-off NHS Digital’s Annual Governance Statement, accompanying Internal Audit statements and NHS Digital’s Annual Accounts, prior to their consideration by the Board.

Qualities required for the role of an NHS Digital Non-Executive Director

To be considered, you must be able to demonstrate that you have the qualities, skills and experience to meet all the essential criteria for appointment.

Essential Criteria for all three roles

  • A career record of achievement, including senior leadership experience, with an ability to operate effectively on the Board of a high-profile national organisation.
  • An awareness of the key challenges faced by the public sector and the ability to bring your experience from the private or public sector to bear on these challenges, using sound judgement to guide NHS Digital’s strategic direction.
  • An understanding of corporate governance and the highest standards of personal propriety in relation to governance, accountability, risk and financial management.
  • Excellent communication skills, with the ability to work effectively as part of a team and with a wide range of stakeholders, with a constructive style, and able to challenge management recommendations where necessary. 

And Additionally:

For the NED who will Chair the Information Assurance and Cyber Security Committee:

  • An ability to work at a high level across cyber security, information and data governance, operational risk management, assurance and internal control functions. An understanding of Government Security requirements and the controls and access considerations for the safe management of public data would also be desirable.

For the NED who will Chair the Assurance and Risk Committee:

  • High-level financial acumen, with an in-depth understanding of integrated corporate governance, risk management, audit, assurance and internal control systems.

Following a period of careful planning, 2018 will see us accelerate the delivery of this ambitious portfolio of digital technology and data solutions, working with strategic partners to ensure we maximise uptake in health and care organisations and secure the best possible benefit from this investment.

We have a permanent establishment of around 3,000 and in addition to our Leeds headquarters; we have offices in a number of national locations including London. Board meetings are held in both London and Leeds.
